Many ROC including ROC kolkata has started approving forms without MBP 1, but with resolution of board & a declaration signed by director that MBP 1 has been received by co.
As per Rule 8 (5) of Companies (Meetings of Board and its Powers) Rules, 2014, Board shall take a note of disclosure of Director’s Interest by passing a resolution and the same shall be filed with as attachment in MGT-14 as per Section 117 (3) read with Section 179(3). Hence only copy of Resolution to be annexed with Form MGT-14 instead of MBP-1 as attachment.
